Small Business Startup Solutions LLC (“SBSS,” “we,” or “us”) is dedicated to providing comprehensive marketing and fintech resources. Our clients (also referred to as “customers,” “account holders,” “purchasers,” “recipients,” “members,” or “subscribers”) have access to a range of digital products and services. These include Wix web design, Wix website themes, Wix website maintenance, SEO, social media, third-party software integration, graphic design, email marketing, affiliate partnerships, and other digital products, marketing services, and related projects. We offer fixed-price services for landing page design and functionality add-ons, as well as hourly maintenance for ongoing site updates, troubleshooting, and support.

This Terms of Service outlines our approach and standards to ensure a consistent and high-quality experience for our clients. We will regularly review and update the Terms of Service to align with industry best practices and evolving business needs.

General


Paid Partnerships

SBSS is a Legend Wix Partner and receives annual payment for websites that we create from Wix. Our e-mail info@wix-websites.com will maintain access as co-owner on any site that we have originally created unless you decide to remove or downgrade the administrative permissions otherwise.

We are an affiliate partner of RiversideFM and Novo.  

SBSS maintains a transparent approach to paid partnerships and ensures that all recommendations and referrals are based on the merit and suitability of the products or services for our clients. The ultimate decision to engage with these companies rests with the client.


Fair Competition and Anti-Trust

SBSS is committed to fair competition and complies with anti-trust laws and regulations. Clients, SBSS contractors and SBSS employees must avoid engaging in anti-competitive practices, such as price-fixing, bid-rigging, or unfair business practices that restrict competition.


Non-Discrimination and Equal Opportunity

Content and Materials for Services


Content Gathering

To enhance the efficiency of the design process and minimize unwarranted edits, it is advised to provide all content before initiating the project design. If any content is delivered after the design has started additional time will be needed on the project to review it and confirm it is suitable for the site and rearrange the design and add it to the site.The client bears the responsibility of supplying essential content, materials, and assets required for the project in its most final form. This encompasses, but is not limited to, text, images, logos, videos, links and any other media. SBSS will gather and integrate any remaining content as necessary, even if the client has not explicitly requested it or supplied it, including the procurement of free stock images, videos, graphics, website copy and social media links. To facilitate easy reference, it is recommended that the client clearly labels their content and adds it to either a Google Drive or other shared folder. Labeling photos is crucial for the SEO alt text and accessibility purposes.


Copyright Infringement

SBSS acknowledges and upholds copyright laws and intellectual property rights. By agreeing to these terms, the client commits not to submit any content or materials that violate the copyrights or intellectual property rights of third parties. In the event that SBSS has reason to believe that the client is submitting content that infringes on copyrights, we retain the right to decline acceptance.


Content Review

After the client submits content for their project, SBSS will conduct a review and inform the client if any additional information is required within 1-3 business days in most cases.


Accuracy and Legality

SBSS shall not bear responsibility for any inaccuracies, errors, or legal issues arising from content provided by the client. Additionally, SBSS will not be held liable for mistakes or errors originating from its own actions or oversights.


Objectionable or Prohibited Content

SBSS reserves the right to refuse or remove any content or materials that are deemed objectionable, offensive, or violate any laws or regulations. This includes, but is not limited to, content that is defamatory, discriminatory, harmful, or infringing upon the rights of others.


Content Licensing

The client grants SBSS a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the provided content and materials for the sole purpose of fulfilling the web design services.


Backup and Data Loss

SBSS is not responsible for any loss or damage to the client's content or materials. It is recommended that the client maintains backups of their content and materials.


Marketing Services


Custom Design Services

This Scope of Work (SOW) Policy outlines the guidelines and expectations regarding the definition and management of project scopes for SBSS. It serves as a reference to ensure clarity and alignment between the company and its clients. It helps to minimize misunderstandings, scope creep, and associated risks during project execution.


Scope Agreement

We strive to build strong client relationships based on trust, transparency, and effective communication. Our services may be purchased as fixed-price projects, hourly services, or through our Digital Marketing Packages. All project communications are counted toward service hours. This includes content guidance, reviews, feedback, and status inquiries initiated by either the client or SBSS to ensure clarity. Project communications are defined as emails, text messages, phone calls, online appointments, in-person meetings, and listings in the My Marketing section of the member portal for your project.


Feedback and Approval

The client is accountable for reviewing all website, design, and project-related content and work provided by SBSS before their publication or display. Timely feedback and approvals from the client are crucial to maintaining the project's alignment with the agreed timeline. To streamline the feedback process, clients should submit feedback in consolidated rounds, gathering all notes before sending a request. Once submitted, the request will be logged in the My Marketing section of the Member Portal, where its status can be tracked from “in progress” to “complete.”


Scope Change Requests

Any changes to the agreed project scope must be submitted by the client in writing or discussed during a meeting. SBSS will review each request to assess feasibility, impact, and project implications before confirming next steps. Services will begin once full payment has been received.


Roles and Permissions

Small Business Startup Solutions will remain a co-owner on the website so that full design and administrative privileges' are available. We will stay on the account until our permissions are either removed or downgraded by the client or other administrators on the Wix account. 

Once the full cost of the project has been paid by the client, SBSS will add the client as the primary owner to the website or project.


Logo

Share your Branding Preferences form. From there we will follow up with you to confirm if there is anything additional needed to begin the design process. Logo design starts at a minimum of $300 for two hours of design services through the Branding Essentials package. If additional time is needed for the design it will be charged at a rate of $150/hour or a Digital Marketing Package and includes time relating to content collection, communications, design, feedback and implementation. Once the logo is completed and full payment has been made, the ownership of the logo belongs to the client. Small Business Startup Solutions obtains a non-exclusive, perpetual, and worldwide license to use the logo for marketing purposes, including showcasing it in our online portfolio and marketing materials. This allows us to demonstrate our design expertise and promote the quality of our work. However, it's important to note that the primary ownership and control of the logo reside with the client, who can utilize it as they deem fit for their own marketing and branding efforts.

Website Themes


Non-Duplication and Non-Resale

Our website designs are exclusive and may not be duplicated, reproduced, or resold without explicit written permission. Violation of this policy may result in legal action.


Co-Ownership and Access

Once you accept the website theme invitation you will be an owner of the website. We will retain co-ownership status and access until either party decides to remove or downgrade access in roles and permissions. This ensures ongoing support and maintenance of the design.  Being a Legend Wix Partner, we earn annual revenue on websites that we have created and hosted for more than one year. Your continued use of our hosting services contributes to our partnership's success.


Invitation Process

Upon purchase, an invitation to access your website will be sent via email. You have three days to accept the invitation. If the invitation expires, we will resend it once complimentary. Subsequent resends will incur a fee of $25.


Ethical and Inclusive Design

Our website themes are designed to guide small businesses in making diverse, ethical, sustainable, and accessible choices. All themes undergo evaluation using the Wix Accessibility Wizard. Sections, stock photos, and text are labeled with meta tags and alt text for enhanced accessibility. Imagery and text geared towards diversity and implementing transparency and ethical behaviors. While we strive for excellence, we cannot guarantee perfection and welcome feedback to continuously improve our themes.

Digital Products

After a client has purchased a website theme they are able to purchase services by the hour or through the Digital Marketing Package for support implementing content.


Community Feedback

We value feedback on how we can improve our designs to create more inclusive websites that bring communities together. Feel free to share your thoughts and suggestions with us.

Points Accumulation and Redemption


Earn Points


  • 50 point sign up bonus

  • 1 point for every $1 spent on services.

  • 50 points for each successful referral (friend books a consultation + makes a purchase).

  • Bonus points through contests and promotions on social media.


Redeem Points

  • 900 points = a 30-minute support or strategy session (value: $80).

  • 1,500 points = a 1-hour support session (value: $150).

  • 5,000 points = $500 credit toward any service.


Terms

  • Points expire one year from the date earned.

  • Points cannot be exchanged for cash.

  • Rewards must be scheduled in advance and are subject to availability.


Membership Status

Membership is a privilege, and Small Business Startup Solutions reserves the right to terminate or suspend membership at its discretion. We the right to modify or terminate the rewards program at any time with or without notice.


Special Offer - Diversity and Inclusion Statement

Members are entitled to submit their Diversity and Inclusion statement. We will incorporate it into their Wix website at no additional cost, including SEO optimization.

Ethical Use of AI 

SBSS uses AI technology in our processes including but not limited to web design, web applications, copywriting, social media, and strategies. We commit to using AI technologies in an ethical manner, respecting individual rights and avoiding harm to users.​​​​


Data Privacy and Security

We will handle user data with utmost care, adhering to relevant data protection laws and regulation. Any data collected during the web design process will be securely stored and used only for the intended purposes, obtaining user consent where required. Learn more about our Privacy Policy.


User Experience and Accessibility

Our AI-powered web design solutions will prioritize user experience, ensuring that AI technologies enhance usability, engagement, and satisfaction. We will strive to make our websites accessible to individuals with disabilities, incorporating AI-based accessibility features and adhering to relevant accessibility guidelines. Bias and Fairness

We will proactively address and mitigate biases in AI algorithms and models used to ensure fair representation and treatment of diverse user groups. Regular audits and evaluations will be conducted to identify and rectify any unintended biases in AI systems.


Intellectual Property and Copyright

We will respect intellectual property rights, including copyright, trademarks, and patents, while using AI in our processes. We will not use AI technologies to infringe upon the intellectual property of others, and we will take necessary measures to protect our own intellectual property.


Continuous Learning and Improvement

SBSS will stay up to date with the latest advancements in AI technology and industry best practices. SBSS will encourage ongoing training and education for our team members to ensure their proficiency in AI design and development. Feedback from clients and users will be actively sought and incorporated to improve the effectiveness and ethical implementation of our AI-powered web design solutions.


Compliance and Accountability

We will comply with all relevant laws, regulations, and industry standards pertaining to AI and web design.


Hosting and Software

SBSS provides web design services that encompass the creation and development of the website. However, the client is solely responsible for purchasing the necessary hosting services, domain and software licenses required to operate the website.


Software Licenses

The client is responsible for acquiring and maintaining any necessary software licenses, including content management systems (CMS), e-commerce platforms, plugins, themes, or other third-party software required for the website's functionality.


Security and Backups

The client is responsible for implementing appropriate security measures. SBSS is not liable for any security breaches or data loss that may occur.


Dispute Resolution

Any disputes arising from or related to hosting services or software used by the client shall be resolved directly between the client and the respective hosting provider or software vendor. SBSS will not be held liable for any issues or disputes related to hosting or software services.


Financial Pricing and Billing

We will provide transparent pricing information to our clients by sharing fixed service prices, digital product costs and costs of hourly services on our website. Our website reflects current pricing.We use Wix Payments for processing credit card payments and adhere to their Terms of Payments.  Additionally we offer the ability to pay with Google Pay, and Afterpay to distribute payments and also adhere to their Terms of Service. Custom design work invoicing will be accurate, timely, and provide a description. Following the use of hourly services or the Digital Marketing Package a summary of how time spent will be provided. Afterpay can be used to spread out project cost over time.Small Business Startup Solutions operates as an agency on Upwork. Clients who initiate their business relationship with us on Upwork are expected to continue conducting business through the Upwork platform for a minimum duration of two years or pay a conversion fee to Upwork per Upwork's Terms of Service. Premium service charges will be applied to Upwork clients to cover the costs associated with our presence on the Upwork platform and the facilitation of client connections to our services by Upwork.


Payment Terms Backup and Data Loss

All invoices are due and payable upon receipt unless otherwise specified in writing. Payment is expected immediately upon receiving the invoice. We understand that unforeseen circumstances can arise, and we strive to maintain a fair and open relationship with our clients. Returns

All payments made to SBSS for all services and digital products are non-refundable. We strive to deliver high-quality web design services and ensure client satisfaction. In the event that you are not satisfied with our services, we will work closely with you to address any concerns or issues.It is the client's responsibility to carefully review the Terms of Service in full before entering into an agreement with SBSS.​  If a client chooses to discontinue the project before completion for any reason, any payments made up to that point are non-refundable and will be considered as compensation for work completed and resources allocated. In the event of circumstances beyond our control that prevent us from fulfilling our obligations, such as natural disasters, acts of war, or other unforeseen events, we will work with the client to find a suitable solution, but any payments made are non-refundable.Any disputes regarding the refunds or payments shall be resolved in accordance with the governing law and jurisdiction specified in the Terms of Service.


Legal Terms


Limitation to Liability


SBSS shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of our web design services, including but not limited to:


  • Loss of data, profits, or business opportunities

  • Damages to hardware, software, or other equipment

  • Interruption of business operations or loss of productivity


​Any third-party claims or liabilities:

 

SBSS shall not be held responsible for any errors, omissions, or inaccuracies in the content of the website or any other deliverables produced as part of the web design project.

The client acknowledges that SBSS does not guarantee the website's performance, functionality, or compatibility with all browsers, devices, or operating systems.

The client is solely responsible for verifying the accuracy, completeness, and legality of any content provided for inclusion on the website, including text, images, videos, and any other materials.

SBSS shall not be liable for any delays, interruptions, or failures in the delivery of services or any other obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, acts of war, or other unforeseen events.

SBSS's liability for any claims arising from or related to our web design services shall not exceed the total amount paid by the client for those services.

​​

Users agree to indemnify and hold SBSS, its affiliates, officers, employees, and partners harmless from any claims, liabilities, damages, or expenses arising from their use of our offerings or violation of these terms.


Confidentiality


Definition of Confidential Information

Confidential Information includes any non-public, proprietary, or confidential information, whether oral, written, or in any other form, disclosed by the Disclosing Party to SBSS. This may include, but is not limited to, trade secrets, business plans, financial information, customer lists, product information, marketing strategies, and any other information marked or identified as confidential.


Non-Disclosure Obligation

SBSS agrees to hold all Confidential Information in strict confidence and to use it solely for the purposes authorized by the Disclosing Party. SBSS shall not disclose, distribute, reproduce, or use the Confidential Information for any other purpose without the prior written consent of the Disclosing Party.


Limited Disclosure

SBSS may only disclose Confidential Information to its , contractors, or agents who have a need to know the information for the authorized purposes and who are bound by confidentiality obligations at least as restrictive as those set forth in this Agreement.


Protection of Confidential Information

SBSS shall take reasonable measures to protect the confidentiality of the Confidential Information. This includes implementing security measures to prevent unauthorized access, use, or disclosure of the Confidential Information.


Exclusions from Confidentiality

SBSS's obligations under this Agreement shall known through no wrongful act of SBSS; (b) was in SBSS's possession without confidentiality obligations prior to disclosure by the Disclosing Party; (c) is rightfully received by SBSS from a third party without any confidentiality restrictions; or (d) is independently developed by SBSS without use of the Disclosing Party's Confidential Information.


Term and Termination

This Agreement shall remain in effect until the expiration of three months or until terminated by either Party.


Right to refuse business

SBSS will not work with businesses in the following industries:


Adult Entertainment and Prostitution

This includes industries involved in the production, distribution, or consumption of explicit adult content. Industries associated with the facilitation or engagement in sexual services for payment.


Gambling and Casinos

Industries that facilitate or engage in games of chance or wagering, including casinos, online gambling platforms, and sports betting.


Tobacco

Industries involved in the manufacturing, distribution, or sale of tobacco products, cigarettes, or cigars.


Illegal Substances

Industries associated with the production, trafficking, or distribution of illegal drugs or substances.


Weapons and Firearms

Industries involved in the manufacturing, distribution, or sale of weapons, firearms, ammunition, or related accessories.


Unethical or Controversial Activities

This can include industries involved in activities that are widely considered unethical, such as exploitative labor practices, human trafficking, or harmful environmental practices.


Governing Law and Jurisdiction

This section on Governing Law and Jurisdiction outlines the applicable laws and jurisdiction that govern the contractual agreements and disputes involving SBSS and its clients within the state of Pennsylvania.


Choice of Law

Any contractual agreements, transactions, or disputes between SBSS and its clients will be governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.


Jurisdiction

Any legal actions, suits, or proceedings arising out of or relating to the contractual agreements or disputes will be brought exclusively in the state or federal courts located within the jurisdiction of Pennsylvania.


Consent to Jurisdiction

By engaging in business with SBSS, clients consent to the exclusive jurisdiction and venue of the state or federal courts located within Pennsylvania for any legal actions or proceedings.


Waiver of Forum Non Conveniens

Clients agree not to raise or invoke the doctrine of forum non conveniens or any similar doctrine to challenge the choice of jurisdiction specified in this policy.


Severability

If any provision of this policy is deemed invalid, unlawful, or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
